B2B Travel Consolidator Platform

This Agreement applies to all travel agents, sub-agents, corporate customers, API clients, consolidators, and business partners accessing or using the Travomatrix platform. Please read these terms carefully before proceeding.

1. Introduction

These Terms & Conditions ("Agreement") govern the access and use of the B2B travel platform, booking systems, APIs, GDS access, and travel services provided by Travomatrix Technologies Private Limited ("Travomatrix", "Company", "we", "our", or "us"). By registering, accessing, or using the platform, the Travel Agent / B2B Partner ("Agent", "User", or "Travel Service Provider") agrees to comply with these Terms & Conditions.

2. Business Model & Intermediary Role

Travomatrix acts solely as:

  • A travel consolidator
  • Technology intermediary
  • Inventory distribution platform

The Company facilitates access to:

  • Airline inventory
  • Hotel inventory
  • GDS systems
  • API-based travel content
  • Third-party supplier services

The Company does not own or operate airlines, hotels, or transport services and shall not be liable for operational deficiencies of suppliers.

3. Eligibility & Registration

To access the B2B platform:

  • The Agent must be legally registered under applicable laws.
  • Valid GST registration, PAN, and business documentation may be required.
  • The Agent must provide accurate KYC information.
  • The Company reserves the right to approve or reject registrations without assigning reasons.

4. Agent Responsibilities

The Agent agrees that all bookings made through its login/PCC/API/account shall remain its sole responsibility, and the platform shall be used only for genuine travel bookings. The Agent shall not engage in:

  • Speculative bookings
  • Duplicate bookings
  • Fictitious bookings
  • Inventory abuse
  • Passive segments
  • Fraudulent transactions
  • Unauthorized resale

The Agent shall remain liable for all consequences arising from misuse.

5. GDS / Airline Inventory Abuse Policy

The following activities are strictly prohibited:

  • Fake PNR creation
  • Churning
  • Hidden city ticketing
  • Duplicate segments
  • Excessive cancellations
  • No-show abuse
  • Test bookings
  • Fictitious names
  • Automated scraping or bots

Any ADM, penalty, debit memo, loss, suspension, or legal action imposed by airlines, GDS providers, or suppliers due to Agent activity shall be fully recoverable from the Agent.

Travomatrix reserves the right to:

  • Suspend the account immediately
  • Cancel bookings
  • Forfeit deposits
  • Recover financial losses
  • Blacklist the Agent

6. Booking & Ticketing Policy

Ticket issuance is subject to fare availability and payment confirmation. Fares are dynamic and may change without notice before ticket issuance. The Company reserves the right to cancel bookings due to:

  • Technical errors
  • Supplier restrictions
  • Pricing discrepancies
  • Fraud checks
  • Payment failure

Booking confirmations are subject to supplier validation.

7. Payment Terms

A. Prepaid Accounts

  • Agents must maintain sufficient balance for bookings.

B. Credit Accounts โ€” Where credit facilities are extended:

  • Credit limits shall be fixed solely by the Company.
  • Outstanding dues must be cleared within agreed timelines.
  • Delayed payments may attract interest, late fees, or suspension.

C. Chargebacks & Fraud

  • Any chargeback, fraudulent payment, reversal, or disputed transaction shall remain fully recoverable from the Agent.

8. Refund & Cancellation Policy

Refunds are subject to:

  • Airline fare rules
  • Hotel cancellation policies
  • Supplier conditions
  • GDS regulations

The Company does not guarantee refund timelines as the same depend on suppliers and airlines. Service charges, convenience fees, and processing fees may remain non-refundable.

9. ADM / ACM Liability

The Agent accepts full liability for ADM (Agency Debit Memo), ACM reversals, airline penalties, and supplier debit notes arising due to:

  • Booking violations
  • Inventory misuse
  • Fare rule violations
  • Incorrect ticketing
  • Fraudulent practices

The Company reserves the right to recover such amounts directly from:

  • Wallet balance
  • Security deposit
  • Outstanding receivables
  • Legal recovery mechanisms

10. API & System Usage Policy

Agents using API/XML systems shall not:

  • Scrape content
  • Cache fares without permission
  • Redistribute inventory
  • Share API credentials
  • Perform excessive search hits
  • Overload systems

API misuse may lead to:

  • Immediate suspension
  • Penalty recovery
  • Legal action

11. Confidentiality

The Agent shall maintain strict confidentiality regarding:

  • Net fares
  • Airline contracts
  • Supplier rates
  • API credentials
  • System access
  • Commercial agreements

No confidential information may be disclosed to third parties without written approval.

12. Data Protection & Compliance

The Agent shall comply with:

  • Digital Personal Data Protection Act, 2023
  • Information Technology Act, 2000
  • PCI-DSS standards (where applicable)
  • Applicable aviation/travel regulations

The Agent shall obtain proper consent before sharing traveler data with the Company.

13. Limitation of Liability

Travomatrix shall not be liable for:

  • Supplier failures
  • Airline schedule changes
  • Visa rejection
  • Immigration denial
  • Operational disruptions
  • Indirect losses
  • Consequential damages

The Company's total liability shall not exceed the service fee charged for the concerned transaction, or INR 10,000 โ€” whichever is lower.

14. Force Majeure

The Company shall not be liable for failures caused by:

  • Natural disasters
  • Pandemic/epidemic
  • Government restrictions
  • War
  • Internet outages
  • Airline shutdowns
  • System failures beyond reasonable control

15. Account Suspension & Termination

Travomatrix may suspend or terminate accounts for:

  • Fraud
  • Non-payment
  • Inventory abuse
  • Chargebacks
  • Regulatory risk
  • Supplier complaints

The Company may also withhold refunds or balances pending investigation.

16. Intellectual Property

All of the following remain the exclusive property of Travomatrix Technologies Private Limited. Unauthorized copying or commercial misuse is prohibited.

  • Software
  • APIs
  • Portals
  • Branding
  • Designs
  • Content
  • Databases

17. Governing Law & Jurisdiction

This Agreement shall be governed by the laws of India. Any disputes shall be subject to Courts at Mohali, Punjab, India. The Company may also initiate arbitration proceedings as per the Arbitration & Conciliation Act, 1996.

18. Amendment of Terms

Travomatrix reserves the right to amend, modify, or update these Terms & Conditions at any time without prior notice. Continued usage of the platform constitutes acceptance of revised terms.
